2. DEFINITIONS
“Envoyo Subcontractors” refers to the group companies that Envoyo may preferably assign to provide the Services.
“Envoyo Solution Partners” refers to third parties who are not actually seen by Envoyo, but who provide services through which they are seen.
“Valid Contract Period” refers to the period that begins on the Customer’s Membership start date and ends with the completion of the Services.
“Service/Services” refers to the services provided to the Customer by Envoyo specified in Annex-1.
“Transaction Documents and Information”; The timeline specified under each Service in ANNEX-1 for the Service purchased by the Customer and the services agreed upon by the parties for the Customer refers to the information or documents and other features that the Customer must provide.
“Marketplace”; It refers to the websites belonging to third parties where the services are provided.
“Platform” refers to the Envoyo website located at the url address app.envoyo.net, where the Customer’s membership and service purchasing transactions are carried out.
“Membership” refers to the 12-month Envoyo paid services that are mandatory for the Customer to purchase the services he/she wishes through the platform.
3. TOPIC
The subject of this agreement is to determine the mutual rights and obligations of the parties regarding the Services provided by Envoyo (ANNEX-1: Service Packages and Pricing). The Membership and Service Agreement and its annexes, as well as all declarations such as warnings, notifications, applications and explanations made by Envoyo regarding the use, membership and services within the Platform, are within the scope. By accepting the provisions of this Agreement, the Customer accepts and undertakes to comply with all statements made by Envoyo regarding the platform contents, Membership and Services.
The service content listed in Annex-1 and the prices announced on the Platform may be changed unilaterally at any time by Envoyo via the platform or through written notification to the Customer. The prices and service contents in Annex-1 are valid until updated or changed.
If such price changes are due to the applicable legislation in the period in which the Service is provided, this price change will be reflected and collected directly to the Customer without the need for any prior notification to the Customer.
4. MEMBERSHIP AND SERVICE
Under this Agreement, the Customer purchases service packages within the scope of a 12-month Membership to the Envoyo platform and has the right to purchase additional service packages within the scope of the Services at its own discretion as long as its membership continues.
In order to purchase some Service packages, other Service packages must also be purchased and are a prerequisite. Such situations are specified in Annex-1 Service Package contents.
Each Service transaction includes one or more Services:
The Service ends with the completion of the work or on a date agreed upon by the parties;
Services that are agreed upon by the parties for a certain period of time, but are automatically renewed at the end of the period because neither party has sent a written notice of termination. Renewals will continue until termination of the Service by Envoyo or Customer;
unexpired and available to Customer until terminated by Envoyo or Customer.
Any damages, penalties, etc. that may arise as a result of not providing information and documents by the customer or providing them incorrectly or incompletely. All charges are the responsibility of the Customer. This issue is of priority and importance, especially in customs procedures; Taxes, expenses, penalties, etc. in relation to all services to be provided in all kinds of customs affairs, but not limited to customs transactions. All costs belong to the Customer, and in cases where the transactions in question are carried out by Envoyo, Envoyo has the right to recourse to the Customer for any costs incurred.
By paying for any Services, Customer accepts the terms contained in this Agreement. The contract comes into force upon signing the contract and payment for the Service. In case of a new or additional Service request by the Customer, this request will be fulfilled by executing an additional protocol to this Agreement by the parties and/or purchasing the additional service through the Platform and/or making the payment for the additional service.
The Customer is responsible for all expenses, duties, taxes (all kinds of taxes such as import, export, etc.) or fees, including third parties, for the provision of the Services subject to this Agreement. Envoyo is not responsible for any penalties, delay costs, damages, etc. that may occur if the fees are not paid by the Customer or there is a delay in payment. In this regard, Envoyo has the right to recourse to the Customer for all fees to be paid by Envoyo. The Customer accepts, declares and undertakes in advance to pay all requested amounts to Envoyo immediately upon the first written request made by Envoyo, without the need for any acceptance and/or court judgment. Otherwise, Envoyo has the right to terminate this agreement immediately and/or suspend/cancel all services for justified reasons. In accordance with this article, Envoyo cannot be held responsible for any reason, including delay in service or non-performance of services due to suspension/cancellation of services.
The management of service and contract processes between Envoyo and the Customer can be fully carried out by Envoyo from the online Platform. The purchase of Additional Services and/or new Services will be carried out through the transactions made by the persons authorized to use the Platform through this Platform by logging in with their own passwords. In this context, the contracts and protocols in force between the parties will be transferred to the Platform and the records and copies on the Platform will become valid from the moment of migration. In this case, order and payment transactions by the Customer, service results by Envoyo, etc. notifications will be made available on this Platform. The customer accepts these issues in advance.
Envoyo is free to see various Services through Envoyo Subcontractors and may choose any Subcontractor it wishes. The Customer consents in advance to have some Services provided by Envoyo Subcontractors pursuant to this Agreement. If the Customer prefers to have some services performed by third parties, he/she will not be liable for any delays, damages, penalties, etc. that may arise from this. The customer is responsible for all costs.
5. FEES AND PAYMENT
Fees;
Fees for the Services are paid in advance through the Platform as specified by Envoyo, or payment is collected periodically and an invoice is created during the period the Service is provided.
If the Customer receives service from the Platform with a one-year commitment and becomes a member of the Platform, a membership fee will be charged for one year for access to the Platform and basic Platform Services provided by Envoyo.
Payments are collected by the third party payment service provider and the related expenses are borne by the Customer.
5.2. Commission fee;
The Customer will pay Envoyo a commission in the amount of 6% of the total monthly turnover of the Products offered for sale in the marketplaces (net amount excluding VAT and other taxes, these taxes will be added to it).
As a result of the service provided, a mutual account reconciliation will be made in the first week of each month between the parties regarding the goods offered for sale in the Customer’s marketplace accounts and/or sold through Envoyo accounts in the Marketplace. In this way, the Parties will work with the current account method. As a result of the service provided arising from this contract, the Customer’s goods prices for the goods sold in the marketplace, all expenses, fees, etc. related to these sales. All receivables/debits will be recorded by Envoyo in the current account upon entry into force of the contract. Envoyo includes the prices of sold goods recorded in the current account, expenses, fees, etc. related to these goods. The account reconciliation containing all expenses and income will be sent to the Customer. If the customer does not object to the account reconciliation in writing within 3 business days after it is sent, the account reconciliation will be finalized between the parties. Based on the finalized account reconciliation, after deducting the 6% Envoyo commission, any payment required to be made to the Customer, if any, is paid by Envoyo to the Customer in the 3rd week of the relevant month.
5.3. General principles regarding all payments;
Payments are collected by the third party payment service provider and all related expenses are borne by the Customer. Envoyo, integration structures and infrastructure of virtual POS and other payment-related systems belonging to the Customer’s contracted banks and/or payment service providers providing services.
Technical problems that may arise due to its features, access problems, functional deficiencies, performance deficiencies, security vulnerabilities, access problems originating from banks and payment institutions, or any collection losses due to authorization errors, as well as chargeback/chargeback requests that may arise from collected transactions, etc. Envoyo has no responsibility for any situations. Situations arising from these cannot be considered as Envoyo fulfilling its obligations arising from this contract or disrupting the service level. We are solely responsible for any damages that may arise due to systemic or functional problems in payment transactions to be carried out within the framework of the Services, cyber attacks, system malfunctions/errors, security vulnerabilities and similar situations affecting the use of the Customers and the Service on the Platform, and any unauthorized access to Customer accounts by other persons. Bank charges incurred during the payment process belong to the Customer.
Services are provided on the principle of cash payment. However, if additional amounts to be paid occur or if the payment for any Service cannot be completed or collected, the invoice amount becomes due on the date the relevant invoice is received by the Customer, and if the payment is not made in full at the latest on the date the invoice is received by the Customer, the Customer will be charged without any notice. is automatically deemed to be in default. In case of default, the customer is responsible for the monthly maturity difference of…%. The customer agrees in advance to make payment in accordance with the invoice, including interest on maturity and default interest.
The Customer agrees that the fee for the Services will be automatically charged to the credit card registered on the platform on the date Envoyo’s invoice carries. If the Customer fails to make the payment, he/she accepts that Envoyo may immediately stop seeing the Services and cancel/suspend the Services until the payment is completed, without the need for further notice. Situations arising from this cannot be considered as Envoyo fulfilling its obligations arising from this contract or disrupting the service level, nor can Envoyo be held responsible.
During the performance of the Service, any taxes, duties, charges, expenses, fees, etc., arising from the provision of the Service to the Customer, by any competent authority, person/organization, in relation to any transaction within the scope of this Agreement, whether known in advance or arising subsequently. If it requires the payment of a fee, the Customer is responsible for all of these amounts without the need for any acceptance and/or court judgment.
Envoyo may increase the recurring fees for the Services provided pursuant to this Agreement by publishing them on the Platform 1 month in advance of the renewal periods. This increase takes effect from the first day of the invoice or billing period on or after the effective date specified by Envoyo in its notification.
If any Service is performed by Envoyo Solution Partners and/or Envoyo Subcontractors, the Service may be billed directly to the Customer by the Envoyo Solution Partner or Envoyo Subcontractor, at Envoyo’s discretion.
The Customer shall not receive the Services for which he has paid in advance. must use it within the contract period. If the valid contract period expires after a payment for a Service is made, the Customer is required to extend the Membership period in order for the Service in question to be seen by Envoyo. 6. ENVOYO SOLUTION PARTNERS
Envoyo has signed agreements with certain organizations called “Envoyo Solution Partners” to promote, market and support certain Services listed in APPENDIX-1/C. When Customer orders Services marketed to it by Envoyo Solution Partners under this Agreement, Envoyo is obliged to provide these Services only in accordance with the warranties and other conditions contained in this Agreement.

7. GENERAL PROVISIONS
Neither party may use the other party’s trademarks, trade names or other designations in any promotion or publication without the other party’s prior written consent. However, at its own discretion, Envoyo may display the logos and names of the Customers whose services it provides on its website as a reference. The Customer consents to this in advance and has transferred its simple license rights to Envoyo for the duration of the contract.
Neither party may assign this Agreement in whole or in part without the prior written consent of the other party. Any attempted assignment without such permission will be deemed invalid.
The Customer will be responsible for the security of the username, password and access information delivered to the Customer’s e-mail address for making transactions on the platform. Envoyo is not responsible for any damages or penalties that may occur due to unauthorized access to the platform other than users defined by the Customer. It is the Customer’s responsibility to ensure password security, but Envoyo will fulfill the Customer’s password change requests as soon as possible.
Designs, texts, shapes, images, html codes and yellow codes, interfaces, databases (advertising and content), images on the platform, but not limited to all kinds of content and documents that can be presented to the Customer, are the property of Envoyo.
Envoyo is not responsible for whether the brands, logos, emblems and similar promotional signs of the products subject to the services it mediates in selling and marketing through the Platform or Marketplace violate the rights of the trademark owners in question. All responsibility in these matters belongs to the Customer who carries the brand, logo, emblem or similar promotional sign in question. Envoyo has no responsibility or liability towards the rights holders in this regard.
Envoyo, its employees and/or managers do not accept any liability for any damages that may arise from the content published on the Marketplace and the Products offered for sale, and all responsibility belongs solely and exclusively to the Customer. The Customer shall ensure that the Products sold are not prohibited products. Envoyo is not obliged to investigate the authenticity, reliability, accuracy and originality of the content provided by the Customer.
The Customer accepts in advance that, as a result of the practices of the Marketplaces, it is not possible to open a separate account for each Customer. For this reason, the Customer accepts that there may be impacts caused by these Customers as a result of the use of Envoyo or Envoyo Subcontractor accounts by more than one Customer. Envoyo may close any account and open a new account, or move the Customer from one account to another. However, Envoyo will endeavor to keep each Customer in a single account whenever possible. In this context, the Customer will not object to joint use due to being a competitor of other Customers with whom he/she has the same account or for other reasons.
Envoyo will not be responsible for the content of end-user feedback, requests or comments regarding Products offered for sale in Envoyo Marketplace accounts, but may provide Services regarding matters related to the management of such feedback between the Customer and the end user.
The Customer will not share his/her username and password with third parties within the scope of membership in the Marketplace or third party websites. All transactions carried out with this username and password are deemed to be valid and binding on the Customer, unless the Customer notifies Envoyo that the username and password have been compromised by unauthorized persons.
Envoyo has the right to unilaterally change the content of the Platform and the provisions of this Agreement in accordance with current legislation. The changes are deemed to have entered into force as soon as they are published.
8. TERM AND TERMINATION
The valid contract period begins on the date of payment of the first Service package and/or 12-month Platform payment and continues indefinitely as long as monthly payments are made by the Customer and it is active. In any case, the valid contract period cannot be less than the duration of the additional services purchased. If the duration of one of the purchased additional services exceeds the duration of the first purchased Service, all services are stopped until the main service required to continue the service for the duration of the purchased additional service is renewed.
The Parties may terminate the Service by giving written notice to the other party before the renewal period of any Service, even if the collection for the Service is not made. If any Service is terminated by Envoyo before its due date, a proportionate refund will be made for the uncompleted part of the Service.
Envoyo may remove a renewable or indefinite Service or product support from the application, provided that it notifies the Customer in writing before the renewal period or, in any case, 1 month in advance, or by using the approval and cancellation mechanisms in the Customer interface on the Platform. In this way, the Customer accepts and knows that he/she has no right to request any refund, compensation, etc. from Envoyo due to not receiving and/or not being able to receive service or product support.
If either party fails to comply with the terms and conditions of this Agreement, the other party may terminate this Agreement if the violation is not remedied within this period, provided that it gives written notice to the non-complying party and provides a reasonable period of time for the violation to be remedied, in no case exceeding 15 days.
The conditions, which by their nature will survive the termination or discontinuation of a Service or the termination of this Agreement, remain in force until they are fulfilled and continue to apply to Envoyo’s and the Customer’s attorneys and legal representatives.
This agreement has been concluded for an indefinite period of time and will be applied under the same conditions in all purchase and sale transactions made by the Customer on the platform. Envoyo may terminate this agreement unilaterally and without any compensation, fee or notification obligation at any time and without giving any reason.
9. APPLICABLE LAW AND DISPUTE RESOLUTION
The Customer and Envoyo have agreed to apply English Law, regardless of conflict of law principles, in the performance, interpretation and enforcement of all rights, acts and obligations of each party arising from this Agreement or in any way related to the subject matter of this Agreement.
Any disputes regarding this contract will be resolved in the London Courts and Enforcement Offices.
10. SCOPE AND LIMITATION OF LIABILITY
Envoyo will provide each Service using reasonable care and skill in accordance with the description of the Service contained in the applicable Contract documents. Envoyo does not provide any commercial guarantee other than that the service is provided in accordance with the terms of this Agreement, and does not make any commitment and/or guarantee that the goods offered for sale by the Customer will be sold. Envoyo is not liable in any way or for any reason for any direct and/or indirect damages and/or loss of profits/earnings that may arise from this Agreement. The Customer acknowledges that Envoyo is not responsible or makes any warranty for the results to be obtained from the use of the Services, whether or not any sales are made as a result of the services. However, for whatever reason, Envoyo’s financial liability within the scope of this Agreement is limited to one month’s fee of this Agreement.
If the goods offered for sale in the Customer’s marketplace and to be sold either through Envoyo or through the Customer’s own account cannot be sold within the rules set by the relevant warehouse where the products are kept, and/or for any other reason, the goods must be removed from the warehouse where they are kept by Envoyo and/or the goods must be destroyed, or In addition, all expenses that may arise for any reason related to the goods, including but not limited to situations such as the recall of the goods by the Customer and request for sale in different channels and/or the damage of the goods in the warehouse and/or situations arising from the market places, damage and loss of the goods. Envoyo has no responsibility for any loss, all responsibility belongs to the Customer.
If the products are not sold, returned by consumers, or are not returned by the Customer within the period specified in writing by the relevant warehouse, marketplace or legal authorities where the products are kept, as of the written notification to be made at any time to be notified by Envoyo, and/or the Customer has expired, at the latest on the date his membership expires. Envoyo has the right and authority to unilaterally decide to destroy all goods that are not returned by Envoyo, without the need for any other notification, and the Customer knows and accepts that he will be responsible for all costs arising from this. Customer Envoyo’s destruction etc. declares and accepts that it will not have any liability for this reason.
The Customer is responsible for all kinds of claims and damages that may arise in the relevant marketplaces or before third parties due to the Customer’s Products (defective goods, wrong product delivery, misleading visuals, consumer complaints, etc.). In case of ordinary and/or unusual return procedures for Products or a decrease in the image or user value of Envoyo marketplace platforms due to such reasons, Envoyo has the right to reject the Products in question and cancel the Customer and the Service. In this context, in the event of a claim, penalty or damage to Envoyo from Envoyo’s other customers, marketplaces or third parties, the Customer accepts, declares and undertakes that Envoyo will have recourse in these matters.
The Customer accepts, declares and undertakes in advance to pay all recourse amounts to Envoyo immediately upon the first written request made by Envoyo, without the need for any acceptance and/or court judgment. Otherwise, Envoyo has the right to terminate this agreement immediately for justified reason and/or suspend/cancel all services. In accordance with this article, Envoyo cannot be held responsible for any reason, including delay in service or non-performance of services due to suspension/cancellation of services.
11. OTHER PROVISIONS
Confidential Information: Each Party accepts, declares and undertakes to keep confidential the information and documents that it may learn about the other Party or shared by the other Party in terms of this Agreement, the provisions contained within the framework of this Agreement or the relations between the Parties. These; Confidential information issued in writing or verbally or information that is reasonably accepted to remain confidential (“Confidential Information”) due to the nature of the interest or the various consequences that may arise in case of disclosure. The Customer accepts, declares and undertakes that he/she will be responsible for any damages that Envoyo may suffer/may suffer if this contract information is used for purposes other than its intended purpose and against the law.
Annexes and Notifications: Annexes added to this Agreement regarding the implementation of this Agreement and written notifications sent by the Customer to Envoyo or its employees during the Agreement and accepted by Envoyo containing changes and instructions regarding the implementation of the Agreement, this Agreement. It is an integral part of; The parties hereby accept and declare that the matters in these texts are binding on them. In the event of a conflict between this Agreement and Annex 1 within the scope of the Service or in terms specific to the Service, the terms in the Annex shall take precedence.
The Parties accept and declare that Envoyo’s books, records and computer records will constitute valid, binding, definitive and exclusive evidence in case of disputes arising from this Agreement and that this article is in the nature of a written evidence contract.
This agreement has been drawn up and signed on …/…/2022 as an original copy, the original of which will remain with Envoyo.
ANNEX 1: SERVICES AND PRICING
SERVICES TO BE OFFERED BY ENVOYO
Under this Agreement, the Customer purchases services from the Envoyo Platform, becomes a member of the Platform and may purchase additional services from this Platform at the Customer’s own discretion. The prerequisites and conditions for additional services are stated below.
Prices for these services are available on the Envoyo Platform. The parties are bound by the prices announced on the Platform. The price for the Service is clearly stated at the time of purchase and is deemed approved by the Customer in case of purchase.
Campaigns and discounts regarding the services are at the discretion of Envoyo and are announced on the Envoyo Platform. Campaign and discount conditions are clearly stated at the time of purchase and are deemed approved by the Customer upon purchase.
Platform Membership
Service Period: The Customer will be a member of the Platform for 12 (twelve) months, without prejudice to the provisions of the Agreement. The service fee will be collected from the Customer’s credit card every month from the contract date.

In order to benefit from the services in this package, the Customer must have a legal entity established within the borders of the target country. Account opening from marketplaces is based on application after all documents are submitted completely and correctly, and the authority and decision to open the account belongs only to the marketplace. Envoyo is not responsible if the marketplace does not open and/or invalidates the account for any reason.
In order to be able to define a trademark, the company must have a registration certificate registered in its own name or an application must have been made. Envoyo is not responsible for the failure to register the trademark in the marketplace due to the trademark rights having previously been granted to a different company.
Content Creation
Service Period: Valid for up to 15 (fifteen) products. The Customer must use the service consisting of 15 (fifteen) products within 1 (one) year or before the end of the Membership period. The delivery time for each product is 7 (seven) business days.
Scope of Service: In order for the products to be listed in the relevant marketplace to be easily found by third parties and to highlight the products, title, features and description text support optimized according to the words appearing in the relevant marketplace will be provided to the Customer.

Envoyo will not be responsible for situations such as incomplete information, incorrect description, use of misleading information caused by the Customer in the contents, and is not responsible for any errors detected by the Customer after checking the contents and any damages caused by these errors.

Service Duration: Service completion time is 3-4 weeks. It is a one-time service.
Service Scope: With this package, Envoyo will offer the opening service of an online storefront where products under the Customer’s brand can be exhibited.
It is the Customer’s responsibility to control the content, photos and prices created by Envoyo. Envoyo will not be responsible for situations such as incomplete information, incorrect description, use of misleading information caused by the Customer in the contents, and is not responsible for any errors detected by the Customer after checking the contents and any damages caused by these errors.
Product Listing
Service Period: Valid for 15 (fifteen) Stock Keeping Units (SKU). The completion time of the services is 7 (seven) business days. The Customer must use the service consisting of 15 (fifteen) products within 1 (one) year or before the end of the Membership period.

Preparing an optimized title, features and description text according to the prominent words in the relevant marketplace,
Providing optimized title, features and description text support according to trending words in order to make it easier for the products to be sold in the relevant marketplace and to make the product stand out,

In cases where Envoyo Marketplace accounts are used by the Customer; The Customer accepts in advance that, as a result of the practices of the Marketplaces, Envoyo does not have the opportunity to open a separate account for each Customer. For this reason, the Customer accepts in advance that there may be effects from other Customers as a result of the use of Envoyo or Envoyo Subcontractor accounts by more than one Customer. Account and Product Management
Account and Product Management package content is within the scope of the following services and the service fee will be collected from the Customer’s credit card on every month from the date of the contract. Service Scope:

B. SERVICES TO BE OFFERED BY ENVOYO AND THIRD PARTIES 1. Advertising and Campaign Management Service Period: It will be valid for the duration of the contract up to 15 (fifteen) Stock Keeping Units (SKU). The Customer must use the service consisting of 15 (fifteen) products within 1 (one) year or before the end of the Membership period. The Service Fee will be collected in advance from the Customer’s credit card.
